INVITATION TO SUBMIT THE LETTERS OF INTENT

CONCERNING COMPLETING AND EXPLOITATING THE WESTERN CITY  „MRONGOVILLE” IN MR¡GOWO  (POLAND)

  

                Mr±gowo is  well known in Poland tourist centre and more than 100 thousand tourists visit it every year. Convenient location, rich natural resources, beautiful scenery and  fame created by  Picnic  Country Festival, Borderland Culture Festival, Mazurian Cabaret Night and many others – make that tourism is developing dynamically. We have in Mr±gowo  extended, various and high standard accommodation basis. Our theme park - western city Mrongoville, is to attract tourists not only from Poland but also from foreign countries.     Western City is conveniently situated. The area of the Mrongoville, which is about 30 ha,  is fitted out with sanitary sewage and rain drain system, electricity and road infrastructure with parking areas. It is partly developed with new buildings that we plan for:

1.        restaurant-entertainment activity: Saloon (floor surface 366,20 m²), Mexico Bar (floor surface 366,20 m²), Sheriff Seat with Prison (floor surface  185,80 m²).

2.        accommodation base – Trapper houses (2), floor surface 43,17 m2 each,

3.        multipurpose buildings – Town Hall - floor surface 142,80 m².

4.        auxiliary buildings – Mrongoville Railway Station (floor surface 230,41 m²),stage with  backstage (floor surface 80,49m²) and playgrounds for children,

5.        commercial building (floor surface 162,60 m²).

On account of commercial character of the undertaking, we are seeking external Partner to support this venture financially and know – how. The best formula of completion  is carrying it out in system DBFO – „Design – Build – Finance – Operate”.

 

Main characteristics of undertaking

1.      Name:  Western City „Mrongoville”, situated in Mr±gowo.

2.      Area – 29,54 ha.

3.      Financial outlays incurred until now: 11.160.000 zl (more than 3 millions euro)

4.      Main parts:

1)           Western City –  built part,

2)           Western City – designed part, to complete: 4 trapper houses,

         church, post office, bank, school and  commercial building,

3)           Ranch Mrongoville – horse riding centre – designed part to complete.

5.      Forecasted tourists amount  – more than 95 000 each year.

6.      Parking places number – 337 /two parking areas/.

7.      Accommodation – 6 trapper houses (for four persons each), with possibility of building
      a new  hotel.

8.      The area is fitted out with sanitary sewage and rain drain system, electricity and road
     infrastructure with parking areas

9.      Local government has detailed destination plan of developing Mrongoville, in direction of
     making it more attractive and gives the future Partner  the possibility of its modification.

 

Local Government Role

1.      The Town as initiator and contractor of achievements to date, appoints the limited liability company and makes contribution:

1)      Working capital /300.000 zl /, (about 84.000 euro)

2)      land,

3)      technical infrastructure,

4)      buildings /all-year-round/.

2.      Enables company to submit motion for EU funds for further expansion.

3.      Makes documents about current preparations and completion available, gives plans of developing Mrongoville.

4.      Guaranties that plans are in accordance with development plan.

 

Partner Role

1.      Partner:

1)      Guaranties financial outlays in undertaking. It is desirable that Partner`s contribution for completing the venture is at least  4 mln zl (about 1 mln euro). We expect declaration of time and form of outlays. Contribution can be also non-cash if it is justified and favourable for company`s development. We prefer financial outlay majority.

2)      Contributes to the clarity of intentions on every stage. We expect offers in the field of information policy as the form of announcing local community about the undertaking, and at the same time its promotion in every possible field.

3)      Guaranties to introduce innovative technological and organization solutions, to apply efficient logistic system.

4)      Guaranties prompt investment completing and starting the venture.

5)      Undertakes Mrongoville exploitation as part of limited liability company with shares of Local Government. Between years 2008 – 2014  with majority of shares of Local Government (at least 75%), and after 2014 with minority but at least 25%. This conditions are results of previous co-financing with EU funds -  Phare 2000 and  EFRR. After providing permanence of those co-financed projects, we are going to consider reselling  shares to our Partner.

 

Procedure of Partner selecting

 

STAGE I

1.      Local Government prepares public offer to recruit the Partner.

2.      Those who are interested present their offer to complete the undertaking.

3.      We choose the best two offers.

4.      Assessing the offers we take into concideration.:

1)     experience in undertakings like ours,

2)     economical assumptions, price shapes,

3)     reliability of tenderer,

4)     offered solutions must be  developmental, short-term and target,

5)     deadline of completing the investment,

6)     technology transfer  – know-how, developmental concepts of the venture in direction of making it more attractive,

7)     guarantee of good  economic experience.

 

 

STAGE II

1.      We choose Partner between 2 tenderers, after indywidual negotiations with Local Government representatives.

 

 

Requirements and documents

1.      We prefer:

1)     offers from companies,  natural and legal persons,

2)     contribution of independent subjects, 

2.      From tenderers we expect:

1)     presenting the company with achievements and experiences to date,

2)     registration document,

3)     3-year balance sheet with profit and loss account and annual report on financial flows,

4)     expense establishing – budget of future investment,

5)     function concept of Mrongoville with  income-expense analysis,

6)     references,

7)     additional information,

 

Additional information

       Receiving the offer we wish:

1)     formal requirements must be based on polish law,

2)     documents must be submited in polish language and signed by persons that are authorized to do it.

 

Expectations to the offers 

Announcing this invitation we expect that:

1.      The letters of intent will be submitted by companies that are interested in the undertaking.

2.      You will ask questions.
